1. Acceptance of Terms

By accessing or using the KAIROS Signal platform, website (kairossignal.com), API, WebSocket feed, or any associated services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not access or use the Service.

KAIROS Signal Labs ("we," "us," "our") reserves the right to modify these Terms at any time. Continued use after changes constitutes acceptance of the revised Terms.

2. Nature of Service

2.1 Informational and Educational Data Only

KAIROS Signal is a data analytics and research platform created for informational and educational purposes. The Service provides:

• Statistical models and analytical outputs generated by physics-based algorithms and machine learning systems
• Market state tensors, regime classifications, and probability estimates
• Cryptographically verifiable signal records for transparency and auditability
• Historical data, performance metrics, and research tools

The Service does NOT provide:

• Investment advice, recommendations, or solicitations of any kind
• Guarantees of any financial outcome or return
• Broker-dealer, custodial, or fiduciary services
• Trade execution, order routing, or portfolio management services
• Personalized financial planning or tailored investment strategies

2.2 Not a Registered Entity

KAIROS Signal Labs is not registered as a broker-dealer, investment advisor, commodity trading advisor, or any other regulated financial entity with the U.S. Securities and Exchange Commission (SEC), the Commodity Futures Trading Commission (CFTC), the Financial Industry Regulatory Authority (FINRA), the National Futures Association (NFA), or any state, provincial, or foreign regulatory body. We do not hold any licenses to provide financial services.

2.3 Experimental and Research-Grade

All models, algorithms, and analytical outputs are experimental, research-grade, and provided for educational purposes. They are the product of ongoing computational research. Past performance of any model, backtest, or signal — including any displayed win rates, accuracy metrics, or return figures — is absolutely not indicative of future results. Markets change. Models fail. You can and will lose money if you trade based on any data from this Service.

2.4 Forward-Looking Statements

Any forward-looking information, including but not limited to signal predictions, probability estimates, directional forecasts, win-rate projections, and regime classifications, are opinions based on mathematical models and not statements of fact. Actual results may differ materially and adversely from any projections.

3. Assumption of Risk

By using this Service, you expressly acknowledge and assume all risks associated with:

• Trading and investing in any asset class, including cryptocurrencies, equities, forex, and derivatives
• Using automated or algorithmic trading systems informed by analytical data
• Relying on machine learning models that may produce incorrect predictions
• Market volatility, liquidity risk, counterparty risk, and exchange risk
• Regulatory changes that may affect the legality or viability of your trading activities
• Technical failures, data delays, API downtime, or incorrect data outputs

4. User Responsibilities

4.1 Independent Decision-Making

You acknowledge and agree that:

• Any trading or investment decisions you make are solely your own responsibility
• You will conduct your own independent research and due diligence before making any financial decisions
• You will consult with a qualified, licensed financial advisor before acting on any data from the Service
• You understand that trading involves substantial risk of loss, including the potential loss of your entire investment
• You are solely responsible for complying with all applicable laws and regulations in your jurisdiction
• KAIROS Signal does not know your financial situation, risk tolerance, or investment objectives

4.2 Qualification

The Service is intended for qualified professionals who understand the risks of financial markets. By using the Service, you represent that you:

• Are at least 18 years of age (or the age of majority in your jurisdiction)
• Have sufficient knowledge and experience in financial matters to evaluate the risks
• Are not relying on KAIROS Signal as a substitute for professional financial counsel
• Have the legal capacity to enter into this agreement in your jurisdiction

4.3 Acceptable Use

You agree not to:

• Redistribute, resell, or sublicense the Service data without prior written consent
• Use the Service for market manipulation, front-running, or any illegal purpose
• Reverse-engineer, decompile, or extract the underlying models or algorithms
• Misrepresent KAIROS Signal data as investment advice or guarantees to third parties
• Exceed API rate limits or abuse the WebSocket connection
• Share API keys or account credentials with unauthorized users

5. No Warranty

The Service and all data, signals, analytics, metrics, and outputs are provided "AS IS" and "AS AVAILABLE" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, completeness, reliability, timeliness, non-infringement, or uninterrupted operation.

We do not warrant that:

• Any data, signal, or output will be accurate, complete, or timely
• The Service will be uninterrupted, error-free, or secure
• Any model or algorithm will produce profitable trading results
• Third-party data sources (exchanges, APIs, sensors) will be accurate or available

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• KAIROS Signal Labs, its founders, employees, contractors, agents, and affiliates shall NOT be liable for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or in connection with your use of or inability to use the Service
• This includes, without limitation, damages for loss of profits, revenue, capital, data, opportunities, goodwill, or other intangible losses, even if we have been advised of the possibility of such damages
• We are not liable for any trading losses, investment losses, or financial harm resulting from your use of, or reliance on, any data, signal, metric, or output provided by the Service
• Our total aggregate liability for any claim shall not exceed the lesser of (a) the total amount paid by you in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100)

7. Indemnification

You agree to indemnify, defend, and hold harmless KAIROS Signal Labs, its founders, officers, employees, contractors, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service or any data obtained from the Service
• Any trading or investment decisions you make
• Your violation of these Terms or any applicable law
• Any third-party claims arising from your use of the data
• Your misrepresentation of KAIROS Signal data as investment advice

8. Intellectual Property

All content, models, algorithms, source code, design, branding, documentation, and analytical outputs are the intellectual property of KAIROS Signal Labs. Your access grants a limited, non-exclusive, non-transferable, revocable license to use the data for your internal purposes only.

9. Access and Beta Program

KAIROS Signal is currently in closed beta. Access is granted by application only and is free of charge during the beta period. No payment is required or accepted at this time. We reserve the right to modify access terms, introduce pricing, or revoke beta access at any time with reasonable notice.

10. Termination

We may suspend or terminate your access at any time, with or without cause, with or without notice. Upon termination, you must delete all raw data obtained from the Service. Sections 2, 3, 5, 6, 7, 8, and 11 survive termination.

11. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Texas, United States, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Tarrant County, Texas (Fort Worth). You consent to the exclusive jurisdiction of state and federal courts located in Tarrant County, Texas for any matters not subject to arbitration. You waive any right to a jury trial.

12. Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive your right to participate in any class action lawsuit or class-wide arbitration.

13. Severability

If any provision is held invalid or unenforceable, the remaining provisions continue in full force and effect.

14. Entire Agreement

These Terms, together with the Privacy Policy and Investment Disclaimer, constitute the entire agreement between you and KAIROS Signal Labs.
